The Disclosing Investments in Foreign Adversaries Act of 2025 requires investment advisers managing private funds with significant assets to report annually to the Securities and Exchange Commission (SEC) the amount of those assets held in ‘countries of concern.’ It also introduces new disclosure requirements for issuers engaging in certain exempted securities transactions, particularly those involving investments in countries deemed to be under the political or legal control of a ‘covered nation.’ The SEC will publish reports detailing which investment advisors and issuers are disclosing investments in these countries, promoting transparency and accountability.
