The Small Entrepreneurs’ Empowerment and Development Act of 2021, or the SEED Act, creates a simplified exemption for small businesses seeking to raise capital. This exemption allows companies with total sales of up to $250,000 in securities over the past year to sell securities without needing extensive disclosures or filings with the Securities and Exchange Commission. However, the SEC must establish rules to disqualify issuers who have faced regulatory disciplinary actions or criminal convictions. This aims to reduce the regulatory burden on small businesses while still protecting investors.
